These Terms of Service (“Terms”) govern your access to and use of Seed (“Seed”, “the Service”), operated by Maxx Apps, a proprietary firm registered in Pune, Maharashtra, India (“we”, “us”, “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, connecting a platform, or otherwise using Seed, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Description of the Service
Seed is a software service that helps direct-to-consumer (DTC) brands run product-gifting campaigns with Instagram creators. The Service helps you discover and vet creators and manage conversations with creators. Seed integrates with third-party platforms including Instagram and Meta, and with Shopify, to provide this functionality. Features may change, expand, or be discontinued over time.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for ensuring that your use of the Service complies with all laws and regulations that apply to you and your business.
4. Accounts & Connected Platforms
Using the Service requires connecting one or more third-party accounts, such as an Instagram or Meta account and a Shopify store. You authorize us to access and use those accounts only to the extent needed to provide the Service and only within the permissions you grant. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
5. Acceptable Use
You agree not to use the Service to: (a) violate any law or the rights of others; (b) send spam or unsolicited messages, or engage in messaging that violates the rules of any connected platform; (c) misrepresent your identity or your relationship with any brand or creator; (d) upload malicious code or attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service; or (e) use the Service in any way that could harm us, our users, or the connected platforms.
6. Third-Party Platforms & Compliance
The Service interoperates with third-party platforms, including Meta and Instagram and Shopify. Your use of those platforms through Seed is also subject to their respective terms and policies, and you are responsible for complying with them. Seed acts only within the permissions you have granted and operates within Instagram’s messaging rules, including its messaging window. Seed does not send unsolicited or automated messages in violation of platform rules. We may modify or suspend integration with any third-party platform if required by that platform or by changes to its API or policies.
7. Intellectual Property
The Service, including its software, design, and content (excluding your data and content you provide), is owned by Maxx Apps and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain all rights to the data and content you provide, and you grant us the rights needed to operate and provide the Service.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will produce any particular business result. Any results from creator campaigns depend on factors outside our control.
9. Limitation of Liability
To the fullest extent permitted by law, Maxx Apps and its owners and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three months preceding the event giving rise to the claim.
10. Termination
You may stop using the Service and disconnect your accounts at any time. We may suspend or terminate your access to the Service if you breach these Terms, if required by a connected platform or by law, or if we discontinue the Service. On termination, the licenses granted to you end. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.
11. Changes to these Terms
We may update these Terms from time to time as the Service evolves. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
12. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles. You agree that the courts located in Pune, Maharashtra, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
